Delivery and Payment Terms of Bingo Germany GmbH
1. General/Applicability
These conditions apply exclusively. Acknowledgment of any deviating or conflicting conditions requires explicit written consent. This also applies in the case of unconditional execution of the delivery. The delivery conditions apply only to entrepreneurs. Sales are only made to companies with a valid business license. The purchase contract is concluded when the buyer places the order.
2. Acceptance
The buyer is obligated to accept the ordered goods (primary obligation). If the buyer is in default with the acceptance of the goods, after a reasonable grace period, Bingo Germany is entitled to demand damages for non-performance.
3. Delivery
Delivery is from the warehouse in Herzebrock-Clarholz. Freight and shipping costs are specified in individual offers and are borne by the buyer or recipient.
4. Payment
The stated sales prices are net prices plus the statutory value-added tax, currently at 19%. In the case of agreed prepayment, the goods will only be released for delivery upon receipt of payment. Payment can be made in cash or to the specified account number on the invoice. Bills of exchange and checks are not accepted.
5. Warranty and Liability
Deviations beyond the agreed delivery quantity and significant defects must be reported in writing to Bingo Germany within 2 days of receiving the goods. The goods are consistently surplus stock; therefore, they are sold in the condition in which they are found. Claims for defects and warranty rights are excluded.
6. Miscellaneous
Cancellations, changes, and additions to these delivery and payment terms require written form. The place of fulfillment is Herzebrock-Clarholz. The place of jurisdiction is Gütersloh, provided the buyer is a merchant; alternatively, at the discretion of Bingo Germany, it can be the buyer’s place of business. The legal relationship is governed exclusively by German law.
